Terms of Sale

These Terms of Sale apply to business purchases from FIWI Maritime, a trading brand of FIWI AS, organisation number 927 817 667, Norway (“FIWI”). They do not apply to consumer purchases.

Order process. A website submission is an order request. No payment is taken on the website. The order becomes binding when FIWI issues written order confirmation to the customer.

1. Products and scope

The order confirmation identifies the product, licence, price, tax treatment, delivery method and any agreed additions or custom work. If there is a conflict between these Terms and a written quotation or order confirmation, the written quotation or order confirmation takes priority for that order.

2. Prices, VAT and taxes

Prices are exclusive of VAT and other taxes unless expressly stated otherwise. Norwegian VAT is applied where required by law. For qualifying cross-border B2B supplies, Norwegian VAT may not be charged and the customer may have local reporting or reverse-charge obligations.

3. Purchase orders and invoicing

FIWI accepts business invoicing and purchase-order processes subject to confirmation. Customers must provide accurate legal entity, billing, tax and procurement information. EHF may be used for eligible Norwegian organisations. Payment terms are stated on the order confirmation or invoice.

4. Payment before delivery

FIWI may require new customers to make payment before digital delivery. Where prepayment is requested, FIWI will provide separate payment instructions appropriate to the order and applicable accounting and VAT rules.

5. Delivery

Standard products are delivered digitally to the named customer contact or by secure download after the agreed commercial conditions are met. The customer is responsible for ensuring that its email, security and procurement systems permit receipt of the delivery.

6. Licence and intellectual property

Purchase of a FIWI product grants only the usage rights stated in the applicable FIWI Maritime Licence Terms or in a separately agreed written licence. Copyright and all other intellectual-property rights remain with FIWI or the relevant rights holder.

7. Custom development

Custom scenario, courseware, assessment or digital-content projects are subject to a separate written scope, price and delivery plan. Unless otherwise agreed in writing, FIWI retains ownership of its underlying templates, methods, know-how and reusable components.

8. Customer responsibilities

FIWI materials support professional maritime training but do not replace the customer’s responsibility for simulator configuration, instructor competence, operational procedures, regulatory compliance, safety management or professional judgement.

9. Cancellations and refunds

Because FIWI sells digital B2B products and bespoke professional services, there is no consumer right of withdrawal. Cancellation rights, if any, are those stated in the order confirmation. Once a digital product has been delivered or custom work has commenced, fees may be non-refundable to the extent permitted by law and the applicable agreement.

10. Liability

To the maximum extent permitted by applicable law, FIWI is not liable for indirect or consequential loss, loss of profit, loss of production or loss arising from the customer’s operational use of training material. FIWI’s aggregate liability relating to an order is limited to the amount paid for that order, except where a limitation is not permitted by law.

11. Governing law

These Terms and FIWI B2B orders are governed by Norwegian law. Disputes that cannot be resolved commercially are subject to the jurisdiction of the Norwegian courts unless otherwise agreed in writing.
